Shin & Kim represented Novelis Inc. and Novelis Korea Co., Ltd. in their in-kind contribution of its important assets and liabilities to a Korean company and the follow-on joint venture in Korea with Kobe Steel, a major Japanese steel maker. Novelis, a multinational industrial aluminum company, is the world leader in rolled aluminum products and recycling, and the largest global producer of automotive and beverage can sheet.
The deal, which took more than 1 year to complete, comprises many complicated transactions and procedures, including, appraisal, valuation and court approval for the in-kind contribution, merger filings in multiple jurisdictions, due diligence and transfer of employees. Also, the deal required a great number of agreements (more than 20 complex definitive agreements) and documents, as well as advice on and solutions to various, unprecedented legal and regulatory issues.
