Mr. Jong-Han Oh gained wide acclaim for his practice in securities, finance and commercial litigations in domestic and foreign markets for the past three decades since joining Shin & Kim in 1989. He is presently the managing partner at Shin & Kim.

Mr. Oh represented key domestic and foreign corporations in major lawsuits and legal disputes relating to securities, finance, and M&A. He represented Samsung Group, winning the litigation that involved around KRW 5 trillion worth commitments of Samsung Motors’ creditors. He also represented Korea’s first hostile takeover in M&A involving the dispute over management control of Hanwha Merchant Bank, as well as the dispute over the management of a number of listed companies and golf courses. He also built a strong reputation in the area of high-profile corporate litigation and dispute resolution through various cases, including representing securities companies and asset management companies in disputes involving their beneficiary securities or funds.

Internationally renowned legal publications, such as the Chambers and Legal500, have recognized Mr. Oh as a “Leading Lawyer” in Dispute Resolution every year, and Hankyung Business also elected him as the Best Civil Case Attorney (2019) after a survey of in-house lawyers. In terms of external professional activities, he served as a professor of the Judicial Research & Training Institute, legal advisor of the Financial Services Commission, among others, and continues to contribute to the legal society as a standing member of the Seoul Chamber of Commerce and Industry.

Corporate Litigation

• Represented the directors of a major Korean company in the shareholder’s lawsuit with foreign shareholders related to the conclusion of a derivative contract
• Represented a Korean securities firm in the lawsuit on the compensation of damages concerning the sales of funds, including TP Fund, Lime Trade Finance Fund, etc.
• Represented a Korean asset management company in the lawsuit, filed by the Chinese business owner of a multinational company, on the compensation of damages in relation to trade secret infringement and the termination of the Chinese business license contract
• Represented a Korean securities firm in the lawsuit on the return of unjust enrichment in relation to the insolvency of the Asset-backed Commercial Paper (ABCP) based on the corporate bonds of a Chinese company as the basic assets
• Represented a Korean securities firm in the lawsuit filed by Chinese stock investors requesting for the compensation of damages in relation to the delisting of a Chinese company for the reason of false entries in the securities report
• Represented Incheon-si and a major Korean company in the lawsuit on the dispute over the sale of Incheon Terminal
• Represented a major Korean distribution company in the case concerning the dispute over the management
• Represented the affiliates of Samsung Group in the case concerning KRW 5 trillion worth commitments of Samsung Motors’ creditors
• Represented the chairman of a major Korean company in the stock delivery case in relation to the inheritance dispute worth trillions of Won
• Represented a Korean securities company in the redemption lawsuit of beneficiary certificates worth hundreds of billions of Korean Won
• Advised on and represented in civil and criminal litigation concerning the dispute over the management of a Country Club.

Financial Regulatory Advice

• Represented a Korean bank throughout the Financial Supervisory Service’s inspection process regarding employee embezzlement and advised on the internal controls
• Represented a Korean securities company in a criminal defense case against allegation of violation of the Capital Markets Act regarding fund sales and advised on issues related to the operation of internal control system
• Advised a Korean bank on insufficient post-management of private equity funds and represented the bank in related disputes
• Advised a Korean securities company on criminal defense against alleged violation of the Capital Markets Act regarding employee embezzlement of customer accounts
