概要

Mr. Woong-Soon Song is a senior legal advisor at Shin & Kim. Mr. Song’s areas of practice include financial transaction and financial regulation, M&As and corporate restructuring. He represented financial institutions and corporations in many transactions that were first of their kind in Korea including Samsung Electronics Co. Ltd.’s issuance of overseas convertible bonds in 1985, and advised on introducing relevant changes to laws and regulations for such new transactions. Mr. Song also represented financial institutions in respect of financial authorities’ regulations, supervisions, inspections and sanctions, and actively participated in matters concerning financial regulations as a Commissioner of the Securities and Futures Commission of Korea. Further, Mr. Song has extensive experience in M&As involving various industries with particular emphasis on financial institutions. With respect to M&As involving Korean banks, he has advised (i) the sellers in the sale of KorAm Bank, Seoul Bank, CHB, Korea Exchange Bank, BNK Kyongnam Bank and Jeon Buk Bank, (ii) the purchaser in its initial purchase of KorAm Bank, (iii) the steering committee for the merger of Kookmin Bank and H&CB and (iv) Woori Financial Group for their restructuring of bank subsidiaries. He is currently advising KDIC in its sale of Woori Bank. He has also advised Korean financial institutions in the restructuring of Daewoo group and SK Network.

From 1994 to 1999, Mr. Song was General Counsel for the Samsung Group and Samsung Life Insurance Co., Ltd. where he dealt with a broad range of corporate, commercial and financial matters including joint ventures, investment and dispute resolution. This experience enabled Mr. Song to gain a deep understanding of in-house legal practice. In the early 1990s he was seconded to White & Case (New York) and Linklaters & Paines (London) where he handled cross-border financial and corporate transactions.

Mr. Song’s interest in the advancement of laws and regulation and their enforcement led him to serve as a Commissioner of the Securities and Futures Commission of Korea, and a committee member of each of the Financial Development Board Committee of the Ministry of Finance and Economy, the Financial Dispute Settlement Committee of the Financial Supervisory Service and the Creditor Financial Institution Arbitration Committee. His services as the president of the Korean Law and Economics Association and the president of the Korean Securities Law Association show his keen interest in the academic side of the law and its advancement.
