Acquisition of Fila business group (through Fila Luxembourg, the holding company of the group) and its IP rights over Fila brands and trademarks
SHIN & KIM represented Fila Korea in (1) the acquisition of Fila business group, (2) the financing transaction for the acquisition with certain Korean banks, and (3) the investment transaction by certain new equity parties of the new Fila holding company. The deal also involved the creation of a new holding company in Luxembourg.
The acquisition represents a first deal whereby a Korean company acquired a global operation of an international brand (Fila is recognized as one of the top 5 international sport brands). It is also significant in that the deal was funded solely from Korean sources.
The deal also involves financing and security based on the valuation of the brands and different royalties payment schemes in different license territories.
