Shin & Kim LLC Launches Corporate Governance Strategy Center to Provide Support for Governance Assessments and Management Control Disputes

Led by Partner Tong-Gun Lee, the Center brings together leading experts in corporate governance and management control disputes, delivers proactive guidance on amendments to the Commercial Act, and provides comprehensive one-stop legal support.

 

Shin & Kim LLC (“Shin & Kim,” Managing Partner Jong Han Oh) has launched its new Corporate Governance Strategy Center by integrating its existing Corporate Governance Practice Group with its Shareholder & Management Control Disputes Practice Group. This initiative is a direct response to the rapidly evolving legislative landscape surrounding proposed amendments to the Korean Commercial Act—most notably, the codification of directors’ fiduciary duties to shareholders and the adoption of electronic general shareholders’ meetings—developments expected to have a significant impact on corporate governance and capital markets.

The Center aims to help companies build a stable business environment by proactively identifying corporate governance-related risk factors and reinforcing their corporate governance frameworks. It offers a one-stop solution encompassing both advisory and litigation services, providing expert guidance on governance matters while formulating and executing comprehensive response strategies in management control dispute.

The Center’s key areas of practice include (i) corporate governance strategy; (ii) holding company transitions and governance restructuring; (iii) board operation and business management strategies; (iv) response to management control disputes; and (v) exercise of shareholder rights and response to shareholder activism. Through these services, the Center aims to help corporate clients proactively address potential legal and governance risks and to support the development of transparent, resilient governance structures in an increasingly complex and dynamic regulatory environment.

The Center operates as an integrated platform, fostering close collaboration among attorneys and experts across diverse specialties. It is led by Partner Tong-Gun Lee (Judicial Research & Training Institute [“JRTI”], Class 29), a veteran with market-leading expertise and extensive experience in corporate governance and shareholder disputes. He is joined by Partner Sook Mi Lee (JRTI, Class 34) as Deputy Head, who has successfully handled numerous high-profile management control disputes.

Other key members of the Center include Partner Won Lee (JRTI, Class 26), who is widely recognized in the legal community as a leading authority in civil law and brings unparalleled expertise in M&A-related civil and commercial litigation, grounded in many years of judicial experience; Partner Byung Tae Kim (JRTI, Class 26), an expert in holding company groups and corporate restructuring; Senior Partner Yong Woo Lee (JRTI, Class 28), who has led numerous major management control disputes in recent years and possesses extensive practical experience in regulatory matters; Partner Haesung Jeong (JRTI, Class 35), who has broad experience in M&A, PEF transactions, corporate advisory, and dispute resolution; and Partner Soo Kyun Lee (JRTI, Class 36), who has handled some of Korea’s most significant shareholder and M&A disputes. The Center’s bench strength is further enhanced by Partner Hae Seong Ahn (JRTI, Class 38), Partner Sae Ron Oh (JRTI, Class 40), Partner Sang Hyun Baek (3rd Bar Exam), Partner Jonghyun Lee (3rd Bar Exam), and Partner Myoung Choi (4th Bar Exam), each of whom brings deep expertise and specialized insight to the Center’s multidisciplinary capabilities.

In addition, the Center benefits from the support of distinguished senior advisors, including Jiwon Jung, former CEO of the Korea Exchange (6th term); Ji Ho Kang, who previously held key roles at the Korea Exchange such as Head of the KOSDAQ Disclosure Team, inaugural Head of the ESG Team, Director of the Special Oversight Task Force on Short Selling, and Director of the Corporate Surveillance Department; and Kyuhong Lee, former member of the Korea Exchange’s Listing and Disclosure Committee and former CIO of the Teachers’ Pension Fund.

Looking ahead, the Center also plans to strengthen its capabilities by bringing in external experts with substantial experience and networks in the areas of proxy advisory services and institutional investor voting practices.
