Mr. Jonghyun Lee is a Partner at Shin & Kim, where he advises clients on corporate law matters and corporate disputes.
Mr. Lee has extensive experience representing both sides in corporate control disputes. Drawing on this experience, he advises and represents listed and privately held companies in a broad range of corporate law disputes and advisory matters. His practice encompasses a wide spectrum of corporate disputes and advisory matters, including preliminary injunction proceedings concerning the placement of agenda items, new share issuances, and the suspension of directors’ authority. He also handles disputes involving representations and warranties, shareholder agreements, shareholder derivative actions, and matters concerning directors’ fiduciary duties, liability, and compensation.
In addition, Mr. Lee advises on and represents clients in matters involving corporate governance and corporate control disputes, including the review of board agenda items for major Korean conglomerates, advice on the conduct of shareholders’ meetings and boards of directors, and proceedings involving the determination of the fair value of shares of listed and privately held companies.
Mr. Lee received his LL.B. from Seoul National University and his J.D. from Seoul National University School of Law. He also completed the coursework for the Ph.D. program in Commercial Law at Seoul National University School of Law.

Key Experience
- Represented one of Korea's largest listed companies in connection with a corporate control dispute, handling numerous related proceedings, including preliminary injunction proceedings to suspend the tender offer process, prohibit the placement of agenda items, suspend the effectiveness of shareholders' meeting resolutions and the exercise of directors' authority, authorize the exercise of voting rights, and prohibit the issuance of new shares, as well as shareholder derivative actions and actions to invalidate shareholders' meeting resolutions.
- Defended a listed Korean company against a hostile takeover attempt, handling multiple related proceedings, including applications for the inspection and copying of accounting books and records, inspection of board minutes, and preliminary injunctions prohibiting the exercise of voting rights.
- Handled numerous proceedings for the determination of the fair value of shares involving both listed and privately held companies.
- Advised major Korean conglomerates on board matters and agenda items.
